Such determination shall be final and conclusive and Shell is not obliged to give any reason for its determination.\u003C/p\u003E\n\u003Cp\u003E4. Activity Mechanics\u003C/p\u003E\n\u003Cp\u003Ea) During the Activity Period, Participants must submit a fan tribute in the comments section of the official Activity post published on the @shell_malaysia Instagram account (“\u003Cb\u003EComment\u003C/b\u003E”). The fan tribute should express support, encouragement or appreciation for the Scuderia Ferrari HP Team drivers.\u003C/p\u003E\n\u003Cp\u003Eb) Following the close of the Activity Period, Shell will review all eligible submissions and determine, in its sole discretion, whether a fan tribute satisfies the requirements of this Activity. Eligible submissions will be evaluated based on their creativity, originality and relevance to the Scuderia Ferrari HP Team drivers. Selected fan tributes may be incorporated, adapted or reproduced as part of a batik-inspired shirt or other commemorative materials connected with this Activity, including items intended to be presented to the Scuderia Ferrari HP Team drivers. Shell's decision on the eligibility, selection and use of any fan tribute shall be final and binding, and no correspondence or appeals will be entertained.\u003C/p\u003E\n\u003Cp\u003Ec) Among the fan tributes selected by Shell under paragraph 4(b) above, the five (5) eligible submissions with the highest number of Instagram \"likes\", as recorded on the date and time determined by Shell[PF2.1], will each receive two (2) Race Weekend Passes. The next ten (10) selected submissions with the highest number of Instagram \"likes\" will each receive one (1) Scuderia Ferrari 2026 Team Polo. In the event of a tie, Shell reserves the right to determine the winner in its sole discretion. The two (2) Race Weekend Passes and ten (10) Scuderia Ferrari 2026 Team Polo are collectively referred to as “Activity Prizes”.\u003C/p\u003E\n\u003Cp\u003Ed) Participants whose submissions are selected by Shell may be contacted by Shell or its appointed agency through Instagram direct message or such other means as Shell may determine, for the purpose of verifying eligibility and obtaining information required for prize fulfilment. Failure to respond within the stipulated period or to provide the required information may result in disqualification, and Shell reserves the right to select an alternative winner.\u003C/p\u003E\n\u003Cp\u003Ee) All information provided by Participants shall be subject to verification by Shell. Upon successful verification, Shell will arrange for the fulfilment and delivery of the relevant prize. Shell reserves the right to disqualify any Participant who provides inaccurate, incomplete or misleading information, is found to be ineligible, or otherwise breaches these Terms and Conditions.\u003C/p\u003E\n\u003Cp\u003E5. Activity Prizes\u003C/p\u003E\n\u003Cp\u003Ea) The winners shall accept all Activity Prizes on as “as-is” basis. The images of the Activity Prizes appearing in any advertising or promotional materials are for illustration purposes only. The actual components, arrangements, design and color of the Activity Prizes may differ from those shown. The color choice of the Activity Prizes is based on Shell’s discretion.\u003C/p\u003E\n\u003Cp\u003Eb) All Activity Prizes are not transferable or exchangeable for cash, credit or in kind and is subject to the terms herein.\u003C/p\u003E\n\u003Cp\u003Ec) Unless expressly stated above, the Activity Prizes does not include accommodation, ground transportation, meals, taxes, personal expenses or any other ancillary costs. Each winner shall be responsible for all such costs incurred in connection with accepting or using the Activity Prizes. All winners shall be personally responsible for all and any taxes, rates, government fees or any other charges imposed under applicable laws in connection with their participation in this Activity, or where applicable, the receipt or use of any Activity Prizes.\u003C/p\u003E\n\u003Cp\u003Ed) The Activity Prizes are subject to availability and to any applicable terms, entry requirements, security requirements, venue rules and instructions imposed by Scuderia Ferrari, Formula 1, the event organiser, the circuit operator or any relevant third-party provider. Failure by a winner to comply with such requirements may result in the winner being refused entry or participation without replacement or compensation.\u003C/p\u003E\n\u003Cp\u003Ee) To the fullest extent permitted by law, Shell make no warranty or representation regarding any Activity Prize supplied or fulfilled by a third party and shall not be responsible for any cancellation, postponement, alteration or restriction imposed by the event organiser or any relevant third party.\u003C/p\u003E\n\u003Cp\u003E6.Social Media Requirements\u003C/p\u003E\n\u003Cp\u003Ea) Participation in this Activity does not grant any Participant any ownership rights in, or permission to use, exploit or commercialise any Shell, Ferrari, Scuderia Ferrari HP, Formula 1 or other third-party intellectual property except as expressly permitted for the purpose of participating in this Activity.\u003C/p\u003E\n\u003Cp\u003Eb) Shell shall not be responsible for any Story, comment, tag or direct message that is hidden, deleted, restricted, blocked, not delivered or otherwise unavailable due to the Participant’s settings, platform restrictions, technical issues or third-party actions. Only direct messages sent from the verified @shell_malaysia account shall constitute official communications for the purposes of this Activity.\u003C/p\u003E\n\u003Cp\u003E7. Participant Consent & Sharing\u003C/p\u003E\n\u003Cp\u003Ea) By participating in this Activity, posting the Comment, the Participant grants Shell a non-exclusive, worldwide, royalty-free, revocable licence to repost, reshare, reproduce, display and communicate that Comment on Shell's websites, social media channels and other digital platforms for purposes connected with this Activity and the main Shell Ferrari VIP Experience Contest.\u003C/p\u003E\n\u003Cp\u003Eb) The Participant represents and warrants that:\u003C/p\u003E\n\u003Col\u003E\n\u003Cli\u003Ethe Participant owns or has the necessary rights to post the Comment;\u003C/li\u003E\n\u003Cli\u003Ethe Comment does not infringe the rights of any third party; and\u003C/li\u003E\n\u003Cli\u003EShell's use of the Comment content in accordance with these Terms and Conditions will not infringe any third-party rights.\u003C/li\u003E\n\u003C/ol\u003E\n\u003Cp\u003Ec) Any use by Shell of a Participant's name, image, likeness, social media handle or content beyond the resharing rights set out in paragraph 6(a) above shall remain subject to applicable consent, privacy and legal requirements.\u003C/p\u003E\n\u003Cp\u003Ed) Shell may remove, refuse to repost or cease using any Participant’s content at any time where Shell reasonably considers such content to be inappropriate, non-compliant with these Terms and Conditions, or inconsistent with Shell's values, policies or legal obligations.\u003C/p\u003E\n\u003Cp\u003E8. Instagram Disclaimer\u003C/p\u003E\n\u003Cp\u003Ea) This Activity is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta. All questions, comments or complaints regarding this Activity must be directed to Shell and not to Instagram or Meta.\u003C/p\u003E\n\u003Cp\u003Eb) By participating in this Activity, each Participant acknowledges and agrees that Instagram and Meta bear no responsibility or liability whatsoever in connection with the administration, operation or conduct of this Activity.\u003C/p\u003E\n\u003Cp\u003Ec) To the fullest extent permitted by law, each Participant releases and holds harmless Instagram and Meta from and against any claims, demands, losses, damages, liabilities, costs or expenses arising out of or in connection with the Participant's participation in this Activity.\u003C/p\u003E\n\u003Cp\u003Ed) Participants must comply with all applicable Instagram and Meta terms, policies and community guidelines when participating in this Activity. For the avoidance of doubt, no Participant shall be entitled to any compensation, damages or other remedy arising from such cancellation, termination, suspension or postponement.\u003C/p\u003E\n\u003Cp\u003Ef) In no event will Shell and its Affiliates be liable for any loss or damages including without limitations, loss of income, profits or goodwill, direct or indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties howsoever arising whether in contract, tort, negligence or otherwise, in connection with this Activity, even if Shell has been advised of the possibility of such damages in advance, and all such damages are expressly excluded.\u003C/p\u003E\n\u003Cp\u003Eg) The invalidity, illegality or unenforceability of any of these Terms and Conditions shall not affect or impair the continuation in force of the remainder of these Terms and Conditions of this Activity.\u003C/p\u003E\n\u003Cp\u003Eh) For the purpose of these Terms and Conditions, “\u003Cstrong\u003EAffiliate\u003C/strong\u003E” means a company which directly, or indirectly through one or more intermediaries, controls, is controlled by, or is under common control with Shell. Relevant to this, “control” means the direct or indirect ownership of an aggregate fifty percent (50%) or more of voting capital.\u003C/p\u003E\n\u003Cp\u003E10. By participating in this Activity, each Participant has read, understood and expressly agrees and consents to:\u003C/p\u003E\n\u003Cp\u003Ea) be bound by these Terms and Conditions including all Shell’s decisions in relation to this Activity;\u003C/p\u003E\n\u003Cp\u003Eb) allow Shell, its Affiliates and its agencies to process and disclose to any third party the necessary personal data of the Participants provided by the Participants for this Activity for any and all purposes in relation to this Activity and any and all other activities relating to or arising from the course of business or businesses of Shell and its Affiliates;\u003C/p\u003E\n\u003Cp\u003Ec) allow Shell to collect, use, disclose and share amongst themselves and their respective service providers the Participants’ personal data, including the photographs or audio-video or other recordings of the Participants for publicity and/or use in advertisements across all media, in its original or edited format, in relation to this Activity without further notification, remuneration or compensation; and\u003C/p\u003E\n\u003Cp\u003Ed) authorise Shell to process the Customers’ personal data provided pursuant to this Activity in accordance with the Promotion Privacy Policy available on our Shell website at \u003Ca href=\"https://www.shell.com.my/privacy.html\"\u003Ehttps://www.shell.com.my/privacy\u003C/a\u003E which forms an integral part of these Terms and Conditions.\u003C/p\u003E\n\u003Cp\u003E11.
